As announced in company announcement no. 12/2011, Lactosan-Sanovo Holding A/S (Lactosan-Sanovo), a subsidiary of Thornico A/S, submitted a voluntary public offer on 22 November 2011 to the shareholders of Brødrene Hartmann A/S (Hartmann) at a price of DKK 95 per share.

Pursuant to section 14 of the Danish Executive Order on Takeover Bids, Hartmann's Board of Directors has considered the offer. The statement by the Board of Directors is attached hereto and forms an integral part hereof.

The statement by the Board of Directors will be distributed to Hartmann's shareholders registered by name, except for shareholders resident in jurisdictions in which such distribution would contravene applicable laws or be subject to other restrictions.
