EDB Business Partner ASA has signed a letter of intent for the sale of its 50% ownership interest in Ephorma AS to ErgoGroup AS who currently owns the remaining 50%.
Ephorma AS is principally involved in providing IT applications and services to the public sector. The company reported turnover of NOK 271 million for the first nine months of 2001 with a pre-tax profit of some NOK 13,6 million.
The sale represents a further step for EDB Business Partner in the process of focusing its activities on the core areas of Telecommunications, Bank & Finance, Computer Operating Services and Consultancy Services.
The parties expect to sign a final sale agreement and complete the transaction before the close of 2001. The sale price for 50% of the shares is to be NOK 137.5 million, paid in cash on completion. Receipt of this consideration will create an accounting gain of ca. NOK 100 million for EDB Business Partner in the fourth quarter of 2001. The commercial agreements currently in place between Ephorma and EDB Business Partner will not be affected by the transfer of ownership.
