EDB - Closing of EDB Telecom transactions

(Oslo, 3 October 2005) Following the agreements made on 18 September, EDB Business Partner has now transferred all assets and employees related to the Network Inventory business and the European Mediation business to Comptel Corporation. All shares in Telesciences owned by EDB Business Partner ASA have also been transferred to a company owned by the current management of Telesciences. The transactions are closed after all terms and conditions have been met. Of the total consideration of approximately NOK 155 million, cash payments of NOK 143 have been made. Approximately NOK 13 million related to the Telesciences transaction will be made by the end of the first quarter of 2006.

In connection with the third quarter financial report, EDB will report the Telecom Business area as discontinued operations in the 2005 accounts and the comparable accounts for 2004. The adjusted gain from the sales to Comptel Corporation and the management of Telesciences Inc will be reported in the third quarter and is expected to amount to approximately NOK 40 million. All accounting items, including gains, for this period and previous periods, will be reported and presented net after tax. Assets and liabilities will be presented as a one line item in the balance sheet.
