SPDE: Endelig resultat av reparasjonsemisjon

Det vises til børsmeldinger datert 29. juni 2009, 21. juli 2009, 23. juli 2009 og 7. august 2009 vedrørende reparasjonsemisjonen ("Reparasjonsemisjonen") på inntil 50 000 000 nye aksjer i Scandinavian Property Development ASA ("Scandinavian Property Development" eller "Selskapet").

Tegningsperioden i Reparasjonsemisjonen utløp den 6. august 2009 kl 17.30. Ved utløpet av tegningsperioden hadde Selskapet mottatt tegninger for totalt 53 591 358 nye aksjer. Reparasjonsemisjonen var følgelig overtegnet med ca 7 prosent.

Styret i Scandinavian Property Development har i styremøte den 7. august 2009 godkjent den endelige tildelingen av aksjene tilbudt i Reparasjonsemisjonen basert på tildelingskriteriene inntatt i prospektet datert 21. juli 2009. Totalt 50 000 000 nye aksjer har blitt tildelt.

Melding om tildeling av nye aksjer og det tegningsbeløp som skal betales av den enkelte tegner, forventes å bli sendt ut i brev fra VPS den 10. august 2009. Betalingen for de tildelte aksjene forfaller den 13. august 2009 i henhold til de betalingsprosedyrer som er beskrevet i prospektet.

De nye aksjene kan ikke overføres eller handles før de er fullt ut betalt, kapitalforhøyelsen knyttet til Reparasjonsemisjonen er registrert i Foretaksregisteret og de nye aksjene er registrert i VPS. Det forventes at kapitalforhøyelsen knyttet til Reparasjonsemisjonen vil bli registrert i Foretaksregisteret rundt 18. august 2009, og at de nye aksjene vil bli notert på Oslo Børs samme dag.

Scandinavian Property Development vil som følge av Reparasjonsemisjonen motta et proveny på NOK 50 000 000 før fradrag for transaksjonskostnader. Styret i Selskapet har som følge av Reparasjonsemisjonen besluttet å forhøye Selskapets aksjekapital med NOK 5 000 000 ved utstedelse av 50 000 000 nye aksjer. Etter at kapitalforhøyelsen er registrert i Foretaksregisteret, vil Selskapets aksjekapital være NOK 83 001 593,90, fordelt på 830 015 939 aksjer hver pålydende NOK 0,10.

Scandinavian Property Development har engasjert SEB Enskilda AS som eksklusiv tilrettelegger i Reparasjonsemisjonen.
