Galapagos increases share capital through warrant exercises

Mechelen, Belgium; 14 September 2012 - Galapagos NV (Euronext: GLPG) announced today a capital increase arising from employee warrant exercises. 

Since its inception in 1999, Galapagos has used warrant plans to incentivize personnel and management and have them share in the success of the company.  Following warrant exercises during the exercise period from 25 August 2012 through 7 September 2012, Galapagos issued 21,569 new ordinary shares on 14 September 2012 for a total capital increase (including issuance premium) of €144,821.30.  No member of the Board or Executive Committee exercised warrants. 

To date, Galapagos' total share capital amounts to €143,887,102.43; the total number of securities conferring voting rights is 26,599,123, which is also the total number of voting rights (the "denominator"), and all securities conferring voting rights and all voting rights are of the same category.  The total number of rights (warrants) to subscribe to not yet issued securities conferring voting rights is 3,137,793, which equals the total number of voting rights that may result from the exercise of these warrants; this number may be increased with maximum 530,140 warrants if all warrants offered under recently created warrant plan (and for which the acceptance period is still ongoing) would be accepted.  Galapagos does not have any convertible bonds or shares without voting rights outstanding.
