LM Group Holding A/S Announces Successful Consent Solicitation to Holders of Outstanding 8% Senior Secured Notes Due 2019

LM Group Holding A/S ("LM Group Holding" and, together with its consolidated subsidiaries, "LM Wind Power") today announced the successful completion of a consent solicitation (the "Consent Solicitation") from holders of its outstanding 8% Senior Secured Notes due 2019 (the "Notes") regarding certain amendments to the terms and conditions governing the Notes (the "Amendments").

In connection with the Consent Solicitation, a noteholders' meeting was held on 22 September 2015 at 10:00 a.m. CET. The quorum was met and the Amendments were passed. The Amendments will come into immediate effect. The issuer of the Notes will pay the consent fee to relevant noteholders in accordance with the  Notice of Noteholders' Meeting dated 1 September 2015 (the "Notice"). The expected settlement date for the consent fee payment is 29 September 2015.
