24. maj 2011 SEB Enskilda has been appointed to evaluate the possibility to place, by means of a bookbuilding process, between 7,700,000 - 11,700,000 shares of series B in Hexagon AB ("Hexagon"), corresponding to 2.2 - 3.3 % of the company's share capital. The shares are currently owned by Melker Schörling AB ("MSAB") (approx. 6,000,000 - 10,000,000 shares) and Ola Rollén (1,741,000 shares). MSAB currently owns 104,420,582 shares in Hexagon (15,750,000 series A shares and 88,670,582 series B shares), equivalent to 29.6 % of Hexagon's share capital and 49.8 % of the votes. MSAB's strategy is to over time have a low gearing in order to be able to support our portfolio companies financially at all times. A low gearing also means that we can take advantage of new opportunities that may arise outside of our current investments. MSAB continues to believe in the potential for Hexagon to continue its strong development and will remain the company's main shareholder. Ola Rollén has consistently increased his holding in Hexagon since becoming its CEO in 2000, primarily financed by loans, including his pro rata subscription in the company's 2010 rights issue. Ola Rollén would now like to repay these loans as the total size of his loans has become substantial. Following the potential sale of shares, Ola Rollén will still own 2,000,001 series B shares in Hexagon constituting a significant part of his wealth. Ola Rollén remains committed to the further development of Hexagon over the long term in his position as CEO and large shareholder. The potential placing of shares will increase the free float in Hexagon from 69.3 % to up to 72.6 % and thereby supports the increased interest in the Hexagon share following the announcement by NASDAQ OMX on May 9, 2011 of its inclusion for the first time in the OMX Stockholm Benchmark Index with effect from June 1, 2011.
