Guidelines for remuneration to senior management

3 June 2010, Lysaker, Norway: Following a proposal put forward by Pronova BioPharma ASA's (OSE: PRON.OL) board of directors, the annual general meeting (AGM) on 7 May 2010 authorised the board to implement a long term cash based incentive programme for senior management. The purpose of the programme is to focus on the group's long term strategic goals and shareholder value as well as to retain and attract senior management.

Payments made under the programme will at any given time be made in accordance with existing authorisations granted by the AGM and within the guidelines set for remuneration of senior management described in Note 6 to the consolidated financial statement for 2009. Further clarifications regarding the guidelines for remuneration to senior management is given in the attached documents.
