Stork: Extraordinary General Meeting of Shareholders on 5 September 2006

The Board of Management of Stork N.V. convenes an Extraordinary General Meeting of Shareholders on 5 September 2006 to discuss with shareholders the process, the course and the outcome of the investigation into a possible Public-to-Private transaction.

On 14 February 2006 Stork announced in a press release that it would be investigating whether its strategy might possibly be best implemented as a privately held company rather than as a listed company ("Public-to-Private transaction"). The investigation into a possible Public-to-Private transaction was discussed during the Annual General Meeting of 10 March 2006.

On 4 July 2006 Stork announced in a press release that the investigation had been finalised. Stork provided further information on the subject in a letter to the shareholders attached to said press release. These announcements can be consulted on the Stork website.

Subsequent to this shareholder letter of 4 July 2006 and taking into account shareholders' responses thereto, Stork has decided to convene an informative general meeting. At this meeting the process, the course and the outcome of the investigation into a possible Public-to-Private transaction will be discussed with the shareholders.

The Extraordinary General Meeting of Shareholders will be held on 5 September 2006 in the Okura hotel in Amsterdam. The convocation will be published today in the NRC Handelsblad and tomorrow in Het Financieele Dagblad, De Telegraaf and the OPC Official List. You can find all the information on the investigation and the Extraordinary General Meeting on the Stork website, www.stork.com.
