The Proposals of the Nomination Board to the General Meeting

The shareholders' Nomination Board of Suomen Hoivatilat Plc makes the following proposals to the Annual General Meeting convening on March 26, 2019:

Remuneration of the Members of the Board of Directors:

The members of the Board of Directors will be paid EUR 1875 per month and the Chairman of the Board of Directors will be paid EUR 4167 per month. All preparations of the meetings and work in between meetings are included in the monthly remuneration. All Board members are entitled to a compensation of EUR 600 and the Chairman of the Board of Directors is entitled to a compensation of EUR 1200 per attended meeting. Should the travel time spent to attend a meeting of the Board of Directors exceed three hours, the compensation for attending a meeting will be 1.5 times higher.

Committee members are paid a meeting fee of EUR 400 per meeting and the Chairman of each comittee receives EUR 600 per attended meeting.

In addition, reasonable travel expenses will be refunded to the members of the Board of Directors and the Committees in accordance with the Tax Administration's guidelines.

Number of Members of the Board of Directors:

It is proposed that the number of the members of the Board of Directors is six (6) members.

The Members of the Board of Directors

It is proposed that the members of the Board of Directors are Satu Ahlman, Pertti Huuskonen, Kari Nenonen, Reijo Tauriainen, Paul Hartwall (new) and Nathalie Clément (new).

It is proposed that Pertti Huuskonen is elected as the Chairman of the Board.

Information on the new proposed members of the Board of Directors

Nathalie Clément (Master of Social Sciences, born 1968) works as Director for Corporate Responsibility at Konecranes. She has an extensive experience in the field of Corporate Responsibility and has previously worked at KPMG as a consultant of responsible investment and sustainable business- services. Clément has also been a partner at Natural Interest and has worked as a Manager at Samfundet Folkhälsan daycare services.  

Paul Hartwall (Master of Economics, born 1981), has worked as CEO of Kusinkapital Ab since 2008.  He is also Chairman of the Board at 2Care Capital Ab, Member of the Board at Hartwall Capital Oy and Ultivista Oy. He has also previously acted as a Member of the Board at Sponda Oyj.

  • Stefan Björkman, Chief Executive Officer, Föreningen Konstsamfundet r.f., representing 2Care Capital Ab.  
     
  • Timo Leskinen, Chief Investment Officer at OP Wealth Management, OP Rahastoyhtiö Oy (OP investment funds)
     
  • Johannes Wingborg, Corporate Governance Manager, Länsförsäkringar Fondförvaltning AB
