The board of directors of Thin Film Electronics ASA ("Thinfilm") resolved on 27 February 2019 to grant a total of 360,000 incentive subscription rights ("SRs") to 5 new employees of the company. The grant was made under Thinfilm's 2018 Subscription Rights Incentive Plan as resolved at Thinfilm's Annual General Meeting on 4 May 2018.
The exercise price of the SRs is NOK 0.64 per share. The vesting schedule for the subscription rights is 25 per cent each year beginning one year from the Vesting Commencement date, 15 January 2019. The SRs expire on 3 May 2023.
Following the grant there are 87,888,682 SRs outstanding in Thinfilm, of which 15,000,000 subscription rights are exercisable subject to certain conditions occurring during a period of two (2) years from when Mr. Barber took office; otherwise they will lapse.
