Documents AG_VUSNeuilly-sur-Seine, April 29, 2015 - The Combined Shareholders' Meeting of Bureau Veritas Registre international de classification de navires et d'aéronefs (the "Company") will be held on Wednesday May 20, 2015 at 3:00 p.m. at the following address: Eurosites, 28 avenue George V, 75008 Paris, for the purpose of discussing the agenda and the draft resolutions contained in the preliminary notice of meeting published in the legal gazette "Bulletin des Annonces Légales Obligatoires" n°39 of April 1, 2015 (http://www.journal-officiel.gouv.fr/balo/).
The main instructions for participating and voting at the Meeting are described in the above mentioned preliminary notice of meeting as well as in the notice of meeting published in the legal gazette, "Bulletin des Annonces Légales Obligatoires" n°51 (http://www.journal-officiel.gouv.fr/balo/) and in the newspaper "Les Petites Affiches" of April 29, 2015. Said notices are available on the Company's website (www.bureauveritas.com).
A booklet including the agenda, the explanatory comments on the draft resolutions, the draft resolutions and the main instructions for participating and voting at the Meeting has been sent to shareholders holding shares in registered form. This document is also available on the Company's website (www.bureauveritas.com).
The documents referred to in article R.225-73-1 of the French Commercial Code are available on the Company's website (www.bureauveritas.com) under Shareholders Information / Annual General Meeting, as from today.
All other preparatory documents pertaining to the Meeting are available to the shareholders at the Company's registered office and/or on the Company's website (www.bureauveritas.com), under Shareholders Information / Annual General Meeting, in accordance with applicable legal and regulatory provisions.
Shareholders may also request until the fifth day (inclusive) prior to the Meeting, i.e.,
until Friday May 15, 2015 included, that the documents and information referred to in articles R.225-81 and R.225-83 of the French Commercial Code be sent to them under the following conditions:
The other documents and information that must be made available pursuant to legal and regulatory provisions are available to shareholders in accordance with applicable legal and regulatory provisions at either the Company's registered office or on the Company's website as appropriate (www.bureauveritas.com).
Please note that the Company 2014 Registration Document (Document de Référence) filed on March 23, 2015 with the Autorité des marchés financiers is available on the Company's website (www.bureauveritas.com) and on the website of the Autorité des marchés financiers
(www.amf-france.org). The Company 2014 Registration Document includes in particular the annual financial report, the report of the Chairman of the Board of Directors with special reporting on the internal auditing and risk management procedures implemented by the Company, as well as the statutory auditors' fees for the financial year ending on December 31, 2014.
